Waystar has announced a definitive agreement to acquire 100% of Iodine Software for a total enterprise value of $1.25 billion, announced in a press release. This acquisition is expected to accelerate Waystar's transformation of healthcare payments through its cloud-based software platform, which aims to prevent denials, reduce manual work, and improve financial performance.

Iodine Software is known for its AI-powered clinical intelligence software, which is trusted by many of the nation's premier health systems. The integration of Iodine's capabilities is projected to expand Waystar's total addressable market by more than 15% and enhance its AI innovation with clinical intelligence.

The transaction, expected to close by the end of 2025, will be funded with a mix of cash and stock consideration. Upon completion, Waystar shareholders will own approximately 92% of the combined company, while Iodine equity holders will own about 8%. This strategic move is anticipated to strengthen Waystar's financial profile and deepen its relationships with leading hospitals and health systems.
