Coursera to Acquire Udemy in $2.5 Billion All-Stock Deal

Coursera has agreed to acquire Udemy in an all-stock transaction valued at $2.5 billion, with Udemy shareholders set to receive 0.8 Coursera shares for each Udemy share. The merger is expected to close in the second half of 2026, pending regulatory and shareholder approvals.

Coursera will acquire Udemy in an all-stock deal valued at about $2.5 billion, reports Reuters. The agreement will give Udemy shareholders 0.8 Coursera shares for each Udemy share, valuing Udemy at approximately $930 million.

The merged company will operate under the Coursera brand, with Udemy shareholders expected to own about 41% of the combined entity. The transaction is anticipated to close in the second half of 2026, subject to regulatory and shareholder approval.

Coursera focuses on partnerships with universities and corporations to deliver accredited programs and professional certificates, while Udemy offers a marketplace model featuring courses from independent instructors. The companies stated that the merger aims to strengthen their enterprise learning offerings, particularly in artificial intelligence, data science, and software development.

Following the announcement, Coursera’s stock rose roughly 4%, while Udemy’s shares gained nearly 22%.
