Adobe has announced an agreement to acquire Semrush for $1.9 billion in cash, offering $12 per share for the SEO and brand visibility platform. The deal, approved by both companies' boards, is expected to close in the first half of 2026 pending regulatory and shareholder approval.

Semrush, known for its search engine optimization and generative engine optimization tools, will join Adobe’s Digital Experience business. The integration aims to give marketers a unified view of brand performance across owned channels, large language models, traditional search, and the broader web.

Adobe said the acquisition will enhance its marketing software portfolio, including Adobe Experience Manager, Adobe Analytics, and Adobe Brand Concierge. The company noted that traffic from generative AI sources to U.S. retail sites increased 1,200% year-over-year in October, underscoring the growing importance of visibility in AI-driven search environments.

Semrush’s enterprise business grew 33% year-over-year in its most recent quarter, with clients including Amazon, JPMorgan Chase, and TikTok. Following completion of the acquisition, Semrush’s solutions will be incorporated into Adobe’s platform to expand brand visibility and audience reach.
