Rackspace Faces Investor Lawsuit Over AI Disclosures
Rackspace Technology faces a securities fraud class action, with Bleichmar Fonti & Auld LLP announcing in a press release that the complaint alleges the company misled investors about its AI efforts and their impact on financial performance.
The lawsuit is pending in the U.S. District Court for the Southern District of New York and asserts claims under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934. Investors have until September 28, 2026, to ask the court to be appointed as lead plaintiff.
The allegations center on Rackspace statements about a memorandum of understanding with Advanced Micro Devices for AI infrastructure. The complaint alleges Rackspace later revealed that its AI investments required resource reprioritization and a transition away from certain revenue generating segments.
On July 9, 2026, Rackspace cut its full year 2026 revenue guidance by $150 million and its full year Private Cloud revenue outlook by $25 million. Its stock fell $2.21 per share, or 33.6%, from $6.58 on July 8 to $4.37 on July 9.
