DEFSEC Technologies Plans CAD$5.54M Private Placement

DEFSEC Technologies expects to raise about CAD$5.54 million through a private placement of common shares, warrants, and warrants funded in advance.

DEFSEC Technologies said in a press release that it has entered definitive agreements for a private placement expected to raise about CAD$5.54 million, or about US$4.0 million, before fees and expenses. The Ottawa company plans to issue 1,951,219 common shares, or warrants funded in advance in place of shares, at CAD$2.84 per share.

The placement also includes common share purchase warrants to buy up to 1,951,219 additional common shares. Each warrant can be exercised at CAD$3.30 per share for 60 months after closing.

DEFSEC plans to use the net proceeds for business and market development, intellectual property protection and registrations, and general working capital. The offering is expected to close on or about August 18, 2026, subject to customary closing conditions, including approval from the TSX Venture Exchange.

DEFSEC develops tactical systems for military and security users. Its portfolio includes systems for shared situational awareness and targeting information from sources such as drones, along with countermeasures for electronic detection, lasers, and drones.
