Affle Agrees to Acquire Perion for $420 Million

Nov 1, 2026
Affle will acquire advertising technology company Perion for about $420 million in cash, expanding its advertising services across connected TV, retail media and digital channels.

Affle will acquire Perion Network in an all cash transaction at an implied equity value of about $420 million, Affle said in a press release. Perion shareholders will receive $11.70 per share.

The transaction will use a reverse triangular merger, after which Perion will become a wholly owned Affle subsidiary and continue operating under its existing brand. Affle plans to fund the purchase with committed bank financing and available cash.

The companies expect the deal to close in early 2027, subject to regulatory approvals and approval from Perion shareholders. The agreement gives Perion a go-shop period before it seeks shareholder approval. Perion shares will then be delisted from Nasdaq and the Tel Aviv Stock Exchange.

Perion provides advertising technology across connected TV, retail media, digital out of home advertising and other digital channels. Its Perion One platform includes the Outmax AI agent for optimising advertising performance. Affle describes its own business as an AI-powered consumer platform focused on mobile advertising and paying per converted user.

The paper reports simulation-based performance, cost, and accuracy-validation results, including Tensordyne’s projected comparison of one Napier rack with a nine-rack Nvidia Rubin plus Groq deployment; the chip is reported as taped out and in fabrication.
