TELUS Proposes Full Acquisition of TELUS Digital
TELUS has submitted a non-binding indication of interest to acquire full ownership of TELUS Digital, announced in a press release. The proposal includes acquiring all outstanding shares not already owned by TELUS for a price of US$3.40 per share, representing a 15% premium over TELUS Digital's closing share price on the NYSE as of June 11, 2025.
The acquisition aims to enhance operational integration between TELUS and TELUS Digital, boosting AI and SaaS capabilities across various sectors such as telecommunications, health, agriculture, and consumer goods. TELUS has requested TELUS Digital's board to review the proposal and appoint a special committee of independent directors to evaluate it.
Currently, TELUS owns approximately 57.4% of all outstanding shares of TELUS Digital. The proposed acquisition is subject to due diligence, negotiation of transaction documents, and approval by TELUS Digital's board. No definitive agreement has been reached yet, and the transaction remains contingent on customary closing conditions.
