OpenAI to Transition For-Profit Arm into Public Benefit Corporation

OpenAI has announced a non-binding agreement with Microsoft to transition its for-profit arm into a public benefit corporation (PBC). This move, detailed in a company blog post, will allow OpenAI's nonprofit to maintain control while acquiring an equity stake valued at over $100 billion.
The agreement, which is still subject to regulatory approval, marks a significant shift in OpenAI's structure. The nonprofit will continue to guide the company's future, ensuring that its mission to benefit humanity remains central. The transition aims to enable OpenAI to raise additional capital and potentially become a public company.
OpenAI and Microsoft have signed a memorandum of understanding (MOU) to outline the next phase of their partnership. The companies are working to finalize the contractual terms of this agreement, which will also see Microsoft continue as OpenAI's primary cloud service provider.
As part of this transition, OpenAI has launched a $50 million grant initiative to support nonprofit and community organizations in areas such as AI literacy, community innovation, and economic opportunity.
