
OpenAI Retains Nonprofit Control Amid Restructuring
OpenAI has announced that its nonprofit will continue to control the company, reversing its previous plan to transition to a for-profit structure. This decision comes after discussions with the attorneys general of California and Delaware, as well as feedback from civic leaders and former employees.
The company, known for its AI products like ChatGPT, will convert its for-profit arm into a Public Benefit Corporation (PBC). This structure requires balancing shareholder interests with the company's mission to ensure artificial general intelligence benefits humanity. OpenAI's nonprofit will remain a major shareholder in the PBC, maintaining significant influence over its operations.
CEO Sam Altman and Board Chairman Bret Taylor emphasized that the nonprofit's control aligns with OpenAI's founding mission. Despite the restructuring, OpenAI aims to raise substantial capital to expand its AI capabilities, with ongoing support from major investors like Microsoft and SoftBank. The decision also addresses legal challenges, including a lawsuit from co-founder Elon Musk, who opposed the shift to a for-profit model.
