Nscale Acquires American Intelligence & Power to Build AI Campus in West Virginia

Nscale has acquired American Intelligence & Power Corporation, including its Monarch Compute Campus in West Virginia, announced in a press release. The acquisition, backed by Fidelis New Energy and 8090 Industries, will enable Nscale to develop one of the world’s largest AI factories on the 2,250-acre site.

The Monarch Compute Campus is the first state-certified AI microgrid in the U.S., with an initial 2-gigawatt capacity expected online by the first half of 2028 and plans to expand to 8 gigawatts by 2031. The site’s integrated, low-cost power infrastructure is designed to support multi-gigawatt AI compute operations.

As part of the acquisition, Nscale has formed Nscale Energy & Power, a new global division based in Houston, Texas. The division will be led by Daniel Shapiro as Chief Power Officer and Bengt Jarlsjo as Deputy Chief Power Officer. The entire AIPCorp and Fidelis New Energy teams will join Nscale to support the development of the Monarch site and future global projects.

Morgan Stanley & Co. served as financial advisor to Nscale, with Latham & Watkins providing legal counsel. Greenhill, a Mizuho affiliate, advised AIPCorp, and Vinson & Elkins acted as legal counsel to Fidelis New Energy.
