BUUU Group Agrees to Acquire 60% of Brightray Science
BUUU Group has agreed to acquire a 60% stake in Brightray Science, the company announced in a press release. The transaction remains subject to regulatory approvals and other closing conditions.
BUUU will pay with Class A ordinary shares valued at $20 each and a promissory note convertible into as many as 10 million shares. Brightray's sellers will retain a 40% stake, while BUUU will receive an option to buy the remaining interest within three years after closing.
Brightray supplies prefabricated modular data centers and operates a 126,000 square meter manufacturing base with stated annual capacity of 300MW. Its 120MW campus in Johor, Malaysia, has 70MW operating and another 50MW scheduled.
BUUU also signed private placement agreements that, together with potential cash exercises of outstanding warrants, are expected to generate more than $60 million in gross proceeds. The financing is subject to closing conditions, and the company said its delivery targets and project pipeline are estimates rather than confirmed orders or financial guidance.
