Thoma Bravo plans to restructure PROS Holdings by separating its travel and B2B segments, following the acquisition expected to close in Q4 2025.

Thoma Bravo has announced strategic plans for PROS Holdings, Inc. following its acquisition, expected to close in Q4 2025. Announced in a press release, Thoma Bravo intends to operate PROS' travel segment as a standalone business while integrating its B2B segment with Conga, another portfolio company.

The travel business will be positioned as a platform investment, aiming to enhance its market leadership in the airline and travel sectors. Meanwhile, the combination of PROS' B2B segment with Conga is expected to create a more comprehensive solution portfolio, enhancing capabilities in AI-driven pricing and document automation.

Under the acquisition terms, PROS shareholders will receive $23.25 per share in cash, marking a significant premium over its recent trading prices. This restructuring aims to leverage Thoma Bravo's expertise to drive growth and innovation across both the travel and B2B sectors.
