Spherea to Acquire Averna, Forming Global Test and Quality Engineering Group

Spherea will acquire Averna to create a combined test and quality engineering systems organization with over 1,800 employees across 13 countries. The deal, backed by Andera Partners and Walter Capital Partners, is expected to close by the end of December 2025.

Spherea will acquire Averna to form a global test and quality engineering systems integration organization, announced in a press release. The transaction, supported by Andera Partners and Walter Capital Partners, is expected to close by the end of December 2025, pending regulatory approval.

Under the agreement, Spherea will take full ownership of Averna. Patrice Bélie, CEO of Spherea, will lead the new group, while François Rainville will continue as Averna’s CEO and also serve as Chief Operating Officer of the Spherea group.

The combined organization will employ more than 1,800 people in 13 countries, making it one of the largest independent system integrators in the test and quality engineering sector. Both companies will continue operating in their respective markets while exploring ways to combine their commercial and operational strengths.
