Tian Ruixiang to Acquire Hong Kong AI and Crypto-Enabled Insurance Broker
Hong Kong-based Tian Ruixiang Holding Ltd announced it is in advanced discussions to acquire an AI and crypto-enabled insurance broker through a share-for-share exchange, according to a press release. The unnamed target firm, based in Hong Kong, specializes in offshore asset allocation and wealth management services, generating over $200 million in annual revenue with 50% yearly growth over the past five years.
Under the proposed structure, the broker will become a wholly owned subsidiary of Tian Ruixiang, maintaining its existing brand and management team. The deal is expected to add more than $200 million in annual revenue for Tian Ruixiang in the first full year after completion and to be immediately accretive to earnings per share.
The combined company plans to focus on three main initiatives: applying Tian Ruixiang’s AI tools to enhance insurance distribution, integrating digital currency capabilities into wealth solutions, and expanding regionally across Southeast Asia using Hong Kong as a hub. Tian Ruixiang projects a compound annual growth rate of over 50% in consolidated revenue and net income over the next three years.
