Robinhood Files Confidential Registration for Second Venture Fund

Robinhood has confidentially submitted a draft registration statement with the SEC for its second venture fund, RVII, which will invest in early and growth stage private companies. The company has not yet determined the size or number of shares for the offering.

Robinhood has confidentially submitted a draft registration statement with the U.S. Securities and Exchange Commission for its second venture fund, according to a press release. The filing, made on Form N-2, begins the process for a public offering of shares in Robinhood Ventures Fund II (RVII).

The number of shares and total fund size have not yet been determined. The offering aims to raise capital for investments in a diversified portfolio of early stage and growth stage private companies. The initial public offering is expected to proceed once the SEC review process is complete, subject to market conditions.

This submission follows Robinhood's first venture fund, RVI, which listed on the New York Stock Exchange in March. That fund invests in late stage companies such as Airwallex, OpenAI, Stripe, and Databricks. RVII will expand its scope to younger startups, offering retail investors exposure to earlier stages of company growth through a publicly traded vehicle.
