Anthropic Founders to Hold 50.1% of Voting Power After IPO

The IPO prospectus from Anthropic adds governance details to earlier disclosures about its AI risks and finances, Reuters reports. A new Founder LLC consisting initially of the company's seven cofounders will direct a single Class F share carrying 50.1% of total voting power over key corporate matters.

The structure will give the group control over matters including the election of some board directors and other investor votes. Class A shares will carry one vote each, but the prospectus warns that public shareholders may have limited practical influence. Anthropic will remain a Delaware Public Benefit Corporation.

Four other directors will be elected by Anthropic's Long-Term Benefit Trust. The Class F structure will begin to expire when no more than two cofounders or their successors remain in the Founder LLC. Members can leave the group after resigning, dying, selling too many shares, or being removed for cause.
