iHuman Acquires All Knowledge and Perfect Lingo for RMB94 Million

iHuman Inc. announced the acquisition of the businesses and assets related to All Knowledge and Perfect Lingo for RMB94 million, expanding its educational product portfolio and appointing new executives.

iHuman Inc. announced in a press release that it has entered into agreements to acquire the businesses and assets related to two educational products, All Knowledge and Perfect Lingo, for a total of RMB94 million. The acquisitions are subject to price adjustments and contingent earn-out payments based on future performance.

All Knowledge is an application focused on humanities and AI literacy, featuring interactive tools such as timelines and relationship graphs. It offers structured learning programs in general knowledge, literature, history, and AI. Perfect Lingo is an AI-based English learning app that uses video lessons, vocabulary training, and pronunciation assessment to improve language skills.

The consideration for All Knowledge is RMB67 million and for Perfect Lingo is RMB27 million, with potential downward adjustments if certain adverse events occur. The sellers may also receive contingent payments of up to RMB29 million for All Knowledge and RMB12 million for Perfect Lingo if financial targets are met within three years. A Big Four accounting firm conducted an independent valuation for the transactions.

Following the acquisitions, iHuman appointed Teng Li from All Knowledge and Perfect Lingo as Co-Chief Executive Officer and Congyu Lin as Chief Strategy Officer. Both appointments were approved by the company’s board and are effective upon closing of the transactions.
