Nagarro Boards Recommend Accepting Persistent Offer

Nagarro's management and supervisory boards have recommended that shareholders accept Persistent Systems' voluntary public takeover offer of EUR 81 per share.

Persistent Systems' offer for Nagarro, announced in June at EUR 81 per share, has been recommended for acceptance by Nagarro's management board and supervisory board, the company said in a press release.

Nagarro published the joint reasoned statement on August 14, 2026, under German takeover law. The boards said they reviewed the offer document and consider the EUR 81 cash price per share fair and adequate.

The bidder is Galaxy Germany Holding SE, a company directly controlled by India based Persistent Systems Limited. Nagarro's boards also said they support the planned partnership framework, which was set out in a business combination agreement signed on June 26, 2026.
