DarioHealth Prices $23.5 Million Stock Offering at Market Value
DarioHealth Corp. announced in a press release that it has priced a registered direct offering of approximately $23.5 million in common stock at $6.80 per share. The offering involves the sale of 3,454,559 shares to existing institutional investors and new participants.
A member of DarioHealth's board of directors also took part, purchasing 14,430 shares at $6.93 per share. A.G.P./Alliance Global Partners is acting as the sole placement agent for the transaction.
Gross proceeds from the offering are expected to be about $23.5 million before fees and expenses. The closing is anticipated on or about July 23, 2026, subject to standard closing conditions. DarioHealth plans to use the funds for working capital, investments, acquisitions, and general corporate purposes.
The securities are being issued under an effective shelf registration statement on Form S-3 (File No. 333-294454) that became effective on March 27, 2026. A prospectus supplement will be filed with the U.S. Securities and Exchange Commission and made available through its website.
