CleanCore Prices $100 Million Offering for AI Infrastructure Projects

CleanCore Solutions priced a public offering expected to raise about $100 million before expenses. The company plans to use the proceeds mainly for AI infrastructure projects, including its Minnesota Project.

CleanCore Solutions said in a press release that it priced a public offering of 400 million shares of common stock, or prefunded warrants in place of shares, with accompanying warrants to buy up to 400 million additional shares.

The securities are priced at $0.25 per share and accompanying warrant, for expected gross proceeds of about $100 million before placement agent discounts, commissions, and offering expenses. The accompanying warrants are exercisable immediately at $0.25 per share and expire five years after issuance.

If all accompanying warrants are exercised, CleanCore would receive about $100 million in additional gross proceeds before expenses. The company said it plans to use the net proceeds mainly for AI infrastructure projects, including the Minnesota Project, and for working capital and general corporate purposes.

Curvature Securities LLC is the sole placement agent. The offering is expected to close on or about August 13, 2026, subject to customary closing conditions.
